Terms of Use

Please read these Terms carefully before using Peddly. These Terms constitute a legally binding agreement. If you have questions, contact us at legal@peddly.market before using the Platform.

1. Acceptance of Terms

By accessing or using Peddly ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and Peddly. We may update these Terms at any time. We will notify registered users of material changes via email or in-app notification at least 30 days before they take effect. Your continued use of the Platform after changes become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform before they take effect.

2. Eligibility and Age Requirement

You must be at least 18 years of age to use Peddly. By accessing or using the Platform, you represent and warrant that: (a) You are at least 18 years old; (b) You have the legal capacity to enter into a binding contract in your jurisdiction; (c) You are not prohibited from using the Platform under any applicable law; (d) All registration information you provide is accurate, current, and complete; and (e) You will maintain the accuracy of your information and promptly update it as necessary. If you are accessing the Platform on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms. Peddly reserves the right to require age verification at any time and to suspend or terminate accounts that cannot verify compliance with the age requirement.

3. Marketplace Platform; No Agency Relationship

Peddly is a marketplace platform that connects independent buyers and sellers. Peddly is not a party to any transaction between buyers and sellers. We do not buy, sell, or take title to any items listed on the Platform. Peddly does not represent or warrant the quality, safety, legality, authenticity, accuracy, or appropriateness of any item listed, the truth or accuracy of any listing, or the ability of sellers to complete transactions. You acknowledge that any purchase or sale you make is entirely at your own risk. Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between Peddly and any user. Sellers are independent third parties, not agents or employees of Peddly.

4. Account Registration and Security

To access certain features of the Platform, you must create an account. You agree to: (a) Provide accurate, current, and complete information during registration; (b) Maintain and promptly update your account information; (c) Maintain the security and confidentiality of your login credentials; (d) Notify us immediately at support@peddly.market of any unauthorized access to your account; (e) Be responsible for all activity that occurs under your account. You may not create more than one account, use another person's account, or create an account using false information. We reserve the right to suspend or terminate accounts that violate these provisions. One account per person or business entity. Creating multiple accounts to circumvent fees, bans, or promotional limitations (including fee trial periods) is a material breach of these Terms and will result in termination of all associated accounts.

5. Fees, Payments, and Payouts

Peddly charges a platform fee on each completed sale. Current fees are: • Standard fee: 7.5% of the final sale price • Launch promotional fee: 5% for the first 30 days after account creation (limited-time promotion; Peddly reserves the right to modify or end this promotion at any time with notice) All fees are deducted automatically from the seller's payout. There are no listing fees, monthly fees, or subscription charges unless explicitly stated. All payments are processed by Stripe, Inc. By using the Platform, you agree to Stripe's Terms of Service. Peddly does not store payment card information. Peddly acts solely as a marketplace facilitator; funds are routed directly between buyers and sellers through Stripe Connect. Peddly does not hold seller funds in custody. Seller payouts are released within 2 business days after: (a) the buyer confirms delivery; or (b) 7 calendar days pass after tracking confirms delivery without a dispute being opened, whichever is earlier. Peddly reserves the right to hold or delay payouts pending investigation of suspected fraud, policy violations, or chargebacks. Sellers are responsible for all applicable taxes on their sales. Peddly will collect and remit sales tax as required by applicable law as a marketplace facilitator.

6. Seller Obligations and Representations

By listing an item on Peddly, you represent and warrant that: (a) You are the rightful owner of the item or are authorized to sell it; (b) The item is accurately described, including condition, photographs, and specifications; (c) The item is not stolen, counterfeit, fraudulently obtained, or otherwise illegally acquired; (d) The sale of the item does not infringe any third party's intellectual property, trademark, copyright, or other rights; (e) The item complies with all applicable laws and our Prohibited Items policy; (f) You will fulfill orders promptly and ship within your stated handling time; (g) You will respond to buyer inquiries and disputes in a timely manner. Sellers agree to indemnify and hold harmless Peddly from any claims arising from their listings, items sold, or conduct on the Platform.

7. Buyer Obligations

By purchasing an item on Peddly, you agree to: (a) Complete payment promptly after winning an auction or clicking "Buy it now"; (b) Provide accurate shipping information; (c) Communicate professionally and in good faith with sellers; (d) File disputes only in good faith and only when an item is genuinely not as described, not received, or materially different from the listing. Buyers who place bids on auctions are legally committed to purchase at that price if they win. Failure to complete a purchase after winning an auction or making an accepted offer may result in account suspension.

8. Prohibited Items and Conduct

You may not list, sell, or attempt to sell items that violate our Prohibited Items policy (available at peddly.market/prohibited-items), which includes but is not limited to: counterfeit goods, stolen property, firearms or weapons (except where explicitly permitted), hazardous materials, illegal drugs or drug paraphernalia, items that violate intellectual property rights, and any items whose sale is prohibited by law. You may not engage in any of the following conduct: (a) Shill bidding, bid manipulation, or coordinated purchasing to artificially inflate bids or feedback; (b) Feedback manipulation, including offering incentives for positive reviews; (c) Creating misleading, deceptive, or fraudulent listings; (d) Harassment, threats, or abusive communication with other users or Peddly staff; (e) Circumventing or attempting to circumvent Peddly's fee structure; (f) Using automated tools, bots, or scripts to access or interact with the Platform except as expressly permitted; (g) Attempting to complete transactions outside the Platform to avoid fees (fee circumvention); (h) Any activity that violates applicable local, state, federal, or international law. Violations may result in immediate account suspension, permanent ban, forfeiture of pending payouts, and referral to law enforcement where appropriate.

9. Buyer Protection

Peddly offers buyer protection on all purchases made and paid through the Platform. Eligible buyers may open a dispute within 30 calendar days of confirmed delivery if: (a) The item was not received; (b) The item is materially not as described in the listing; (c) The item arrived significantly damaged. To file a dispute, buyers must use the dispute feature in their order page and provide documentation (photographs, tracking information, etc.). Peddly will review the dispute and may contact both parties for additional information. Peddly's determination on disputes is final and binding. Buyer protection does not cover: change of mind, items that match the description exactly (including noted flaws), or transactions completed outside the Platform. Peddly reserves the right to reverse chargebacks or deduct dispute resolutions from seller accounts where warranted.

10. Intellectual Property

You retain ownership of content you create and post on Peddly, including listing photos, descriptions, and other materials. By posting content, you grant Peddly a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform. You may not post content that infringes on any third party's intellectual property rights. Peddly will respond to valid DMCA takedown notices submitted to our designated agent at: dmca@peddly.market. Our DMCA agent is also registered with the U.S. Copyright Office. Peddly's name, logo, trade dress, and Platform design are proprietary to Peddly. You may not use our trademarks or branding without our prior written consent. Repeat infringers will have their accounts terminated.

11. Privacy

Your use of the Platform is subject to our Privacy Policy (peddly.market/privacy), which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your information as described in the Privacy Policy. The Platform may collect behavioral data (searches, views, purchases) to personalize your experience and improve recommendations. This data is used solely to operate and improve the Platform and is not sold to third parties.

12. Third-Party Services

The Platform integrates with third-party services including Stripe (payment processing), Supabase (data infrastructure), Resend (email delivery), and EasyPost (shipping labels). Your use of these services is subject to their respective terms of service. Peddly is not responsible for the acts, omissions, or content of any third-party service. Links to third-party websites or services do not constitute an endorsement. Peddly is not responsible for the content, privacy practices, or reliability of any third-party site.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEDDLY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY TRANSACTIONS CONDUCTED THEREON. PEDDLY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO PEDDLY IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU IN THEIR ENTIRETY.

14. Indemnification

You agree to indemnify, defend, and hold harmless Peddly and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your listings, items sold, or conduct; (c) your violation of these Terms; (d) your violation of any third-party rights, including intellectual property rights; or (e) any false or misleading representation you make in connection with the Platform.

15. Dispute Resolution; Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform ("Dispute") shall be resolved by binding individual arbitration, not in court. The American Arbitration Association ("AAA") Consumer Arbitration Rules shall govern, available at adr.org. The arbitration shall be conducted in English. The arbitrator's decision is final and binding. CLASS ACTION WAIVER: YOU AND PEDDLY EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT, YOU WAIVE ANY RIGHT TO A JURY TRIAL. EXCEPTIONS: Either party may bring an individual claim in small claims court. Either party may seek emergency injunctive relief in court to prevent irreparable harm pending arbitration. Nothing herein prevents Peddly from seeking injunctive or other equitable relief in court to protect its intellectual property. You must send written notice of any Dispute to legal@peddly.market at least 60 days before initiating arbitration to allow an opportunity to resolve the dispute informally.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. To the extent any matter is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

17. Termination

Peddly may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, effective immediately. Grounds for termination include but are not limited to violation of these Terms, fraudulent or illegal activity, or behavior that harms other users or the Platform. Upon termination: (a) your license to use the Platform immediately ceases; (b) pending payouts may be withheld pending investigation; (c) we may retain data as required by law or legitimate business purposes as described in our Privacy Policy. You may terminate your account at any time by contacting support@peddly.market. Termination does not relieve you of obligations arising from transactions completed prior to termination.

18. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEDDLY EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PEDDLY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

19. Miscellaneous

Entire Agreement: These Terms, together with the Privacy Policy and any other policies incorporated herein, constitute the entire agreement between you and Peddly regarding the Platform. Severability: If any provision of these Terms is found to be unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect. No Waiver: Peddly's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Assignment: You may not assign or transfer these Terms or any rights hereunder without Peddly's prior written consent. Peddly may freely assign these Terms. Force Majeure: Peddly shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control. Contact: For legal inquiries, contact legal@peddly.market.
